Account Registration and Eligibility

Account Security

Account Suspension and Termination

SMS Service Specific Rules
- Comply with TCPA, CAN-SPAM, GDPR, and other telecommunications regulations
- Obtain proper consent before sending marketing messages
- Provide clear opt-out mechanisms in all messages
- Do not send messages to phone numbers on Do-Not-Call registries without exemption
- Respect message rate limits and sending quotas
- Do not use the service for chain letters, pyramid schemes, or similar content
GPS Service Specific Rules
- Only track devices and individuals you have authorization to monitor
- Comply with privacy laws regarding location tracking
- Inform tracked individuals about monitoring (where required by law)
- Use location data responsibly and lawfully
- Do not use for stalking, harassment, or illegal surveillance
User Responsibilities
General Responsibilities
- Provide accurate and complete registration and account information
- Maintain the security of your account credentials
- Comply with all applicable laws and regulations
- Make timely payment of all fees and charges
- Use services within agreed parameters and quotas
- Report security incidents and suspicious activity promptly
- Keep your contact information current
- Backup your data regularly
Mobile App User Responsibilities
- Keep your app updated to the latest version
- Use compatible devices and operating systems
- Ensure adequate internet connectivity for app functionality
- Grant necessary permissions for app features you wish to use
- Respect device battery and data usage impacts
- Report bugs, crashes, and technical issues
Fees, Billing, and Payment
Subscription Plans
- Free Trials: Limited features or time-limited trials may be offered
- Paid Subscriptions: Monthly, quarterly, or annual billing cycles

Intellectual Property

- Client data remains the property of the client
- Custom solutions may have shared ownership as agreed
- Third-party software is subject to respective licenses

Mobile Application Terms

Service Limitations and Availability

- Uptime Target: 99.9% availability (excluding scheduled maintenance)

Usage Limits and Quotas
- SMS Service: Message quotas based on subscription plan

- Exceeding limits may result in additional charges or service limitations
Service Modifications
- We may modify, suspend, or discontinue services with 30 days notice

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability shall not exceed the fees you paid in the past 12 months
- For free services, liability is limited to $100 USD
- Some jurisdictions do not allow liability limitations, so these may not apply to you

Indemnification
You agree to indemnify, defend, and hold harmless EngiCell Technology from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use or misuse of our services
- Your violation of these Terms of Service
- Your violation of any third-party rights
- Your violation of applicable laws or regulations
- Content you submit or transmit through our services
- Unauthorized use of your account
- SMS messages you send through our platform
- Your tracking or monitoring of individuals or devices
Termination and Cancellation
Your Right to Terminate
- Free Accounts: Delete account anytime through account settings
- Monthly Subscriptions: Cancel anytime; effective at end of billing period
- Annual Subscriptions: Cancel anytime; may be eligible for pro-rated refund within 30 days
- Mobile App Subscriptions: Manage through Google Play or Apple App Store
- Cancellation does not entitle you to a refund for current billing period
Our Right to Terminate
We may suspend or terminate your account immediately for:
- Violation of these Terms of Service or Acceptable Use Policy
- Fraudulent, abusive, or illegal activity
- Non-payment or failed payment for 7 days after due date
- Breach of intellectual property rights
- Spam, harassment, or other prohibited conduct
- Security threats or compromise of your account
- As required by law or legal process
Effect of Termination
- Your right to use the services immediately ceases
- You remain liable for all fees accrued prior to termination
- We may delete your data after 90 days (export before termination)
- Outstanding balances become immediately due and payable
- Sections regarding limitation of liability, indemnification, and disputes survive termination
